Promontory Development, LLC, Promontory Investments, LLC d/b/a The Promontory Club, Utah 7000 Cabins, LLC d/b/a Promontory HOMES (“Promontory”, “we”, “our” or “us”), respect your privacy. This Privacy Notice (“Notice”) describes the processing of Personal Information (defined below) that we collect, receive and store about individuals in connection with providing our legal services (collectively, the “Services”), including on our client portals, websites, applications, and other platforms that link to this Privacy Notice (collectively, the “Site”). It also describes rights you may have under applicable laws. Please read this Notice carefully to understand our policies and practices regarding your Personal Information and how we will treat it.

Personal Information We Collect

We collect several categories of Personal Information. “Personal Information” means information that uniquely identifies, relates to, describes, or is reasonably capable of being associated with or linked to you.

The types of Personal Information we collect may include:

  • General visitors: We collect information for internal marketing purposes about pages that visitors browse. This information does not contain e-mail addresses.
  • Communications and Interactions – If you submit an inquiry, or provide information on our Site we may collect your contact information. This may include your name, email address, demographic information, phone number, company, and job title. When you email, call, or otherwise communicate with us and with members of our team, we collect and maintain a record of your contact details, communications and our responses. We also maintain records, communications and information that you post in chat sessions, forums and in other areas of the Services, as well as on our social media channels, and information you provide to us related to any customer support requests.
  • Real estate and property information:information about past and present property purchases, sales and listings (such as address, price, photos, and property details) and other information you provide such as real estate searches and preferences, whether you plan on buying or selling real estate, home search criteria and preferences, language preferences, household members, information about financing for the purchase of real estate, co-owners, and other information related to the purchase or sale of real estate.
  • Payment and purchase information:in some circumstances, we may collect purchase and payment information in order to process payments to or from you, such as your credit card number, direct deposit or financial account number, billing address, and other account information.
  • Usage Information – When you use our Site we may automatically record information, including your Internet Protocol address (IP address), browser type, referring URLs (e.g., the site you visited before coming to our websites), domain names associated with your internet service provider, information on your interaction with our websites, and other such information.
  • Employment Information – If you apply for employment with us, we will collect Personal Information related to your potential employment, including your education and employment history, address and contact information, demographic information, and any other information included in your resume or application.
  • Communication Information – We may collect Personal Information contained within your communications with us, including audio, electronic, or visual information, screen sharing views, and any files uploaded, emailed or otherwise provided to us.

How We Collect Personal Information

  • Directly From You – We collect Personal Information that you provide to us. For example, if you request information from us, register for an event, or sign up to receive updates.
  • From Our Customers Homeowners and Club Members – We collect Personal Information during the course of rendering our Services or otherwise providing services to our Customers, Homeowners, and Club Members.
  • From Third Parties – We may collect Personal Information from third parties, including but not limited to business partners recruiters and job application portals, and background check providers.
  • Through Online Tracking Technologies – We use cookies and similar technologies to collect Personal Information related to activity on our websites. For additional information regarding our use of these technologies, see the Cookies and Tracking Technologies section below.

How We Use Personal Information

To the extent permitted by applicable law, we use Personal Information:

  • To provide our Services, to our customers, homeowners, and Club Members, to identify and authenticate access to parts of our Services (e.g. client portals and extranet), and as otherwise required by us for our legal compliance obligations.
  • For internal research and development, such as testing and verifying the quality of our Services, improving the quality of our Services, and creating new Services.
  • For marketing, including using your information to send you messages, notices, newsletters, promotions, or event invitations about our own or third parties’ goods and Services that may be of interest to you. We also use Personal Information to conduct interest-based advertising as discussed in the Cookies and Other Tracking Technologies section below.   • As part of a corporate transaction, such as in connection with the sale of part or all of our assets or business, the acquisition of part or all of another business or another business’ assets, or another corporate transaction, including bankruptcy.
  • To fulfill any other purpose for which you provide it, including purposes described when you provide the information or give your consent.

If you are applying for employment, or employee housing with us, we also use Personal Information to process your job application, to verify the information you have provided in your application, conduct interviews, perform background and reference checks, to communicate with you and answer your questions, to confirm your eligibility for employment, and improve our recruiting processes. We may also save your Personal Information for future employment opportunities with Promontory.

How We Disclose Personal Information

We may disclose your Personal Information in the following circumstances:

  • Our customers, homeowners, and Club Members – We may disclose Personal Information to our clients as necessary in the course of rendering our Services.
  • Service Providers – We disclose your Personal Information with the service providers that we use to support our business, including but not limited to, data analytics providers, website hosting providers, and other technology providers. If you are applying for a job with us, this may include service providers such as background check providers and human resource providers.
  • Business Partners – We may disclose Personal Information with trusted business partners. For example, we may disclose your Personal Information with the real estate brokerage that lists our properties for sale or to to a company who we co-sponsor a promotion, event, or service with.
  • Legal Obligation or Safety Reasons – We may disclose Personal Information to a third party when we have a good faith belief that such disclosure of Personal Information is reasonably necessary to (a) satisfy or comply with any requirement of law, regulation, legal process, or enforceable governmental request, (b) enforce or investigate a potential violation of any agreement you have with us, (c) detect, prevent, or otherwise respond to fraud, security or technical concerns, (d) support auditing and compliance functions, or (e) protect the rights, property, or safety of Promontory, its employees and clients, or the public against harm.
  • Merger or Change of Control – We may disclose Personal Information to third parties as necessary if we are involved in a merger, acquisition, or any other transaction involving a change of control in our business, including but not limited to, a bankruptcy or similar proceeding. Where legally required, we will give you prior notice prior to such disclosure.
  • Other – We may disclose Personal Information to third parties when explicitly requested by or consented to by you, or for the purposes for which you disclosed the Personal Information to us as indicated at the time and point of the disclosure (or as was obvious at the time and point of disclosure).

Cookies and Other Tracking Technologies

We and our service providers may use cookies and similar technologies to collect usage and browser information about how you use our websites. We process the information collected through such technologies, which may include or be combined with Personal Information, to help operate certain features of our websites, to enhance your experience through personalization, and to help us better understand the features of our websites that you and other users are most interested in.

We use analytics services, including Google Analytics, to assist us with analyzing our website traffic. How Long Do We Keep Your Personal Information

We will retain each category of your Personal Information for as long as necessary to fulfill the purposes described in this Privacy Notice, unless otherwise required by applicable laws. Criteria we will use to determine how long we will retain your Personal Information include whether we need your Personal Information to provide you with our Services you have requested; we continue to have a relationship with you; you have requested information or Services from us; we have a legal right or obligation to continue to retain your Personal Information; we have an obligation to a third party that involves your Personal Information; our retention or recordkeeping policies and obligations dictate that we retain your Personal Information; we have an interest in providing you with Personal Information about our Services; or we have another business purpose for retaining your Personal Information.

How We Protect Your Personal Information

We use commercially reasonable efforts to protect the confidentiality and security of Personal Information. However, despite these efforts to store Personal Information in a secure environment, we cannot guarantee the security of Personal Information during its transmission or its storage on our systems. Even so, despite our efforts, no security measure is ever perfect or impenetrable. In the event that the security of your account has been compromised, please immediately notify us in accordance with the Section entitled Contact Us.

DATA RETENTION

We will retain your personal information for the period necessary to fulfill the purposes outlined in this Privacy Notice unless a longer retention period is required or permitted by law. We may retain personal information for longer where required by our legal and regulatory obligations, professional indemnity obligations, or where we believe it is necessary to establish, defend or protect our legal rights and interests or those of others. With respect to the data and files we handle as a processor, we retain this personal information in accordance with our clients’ instructions.

YOUR RIGHTS AND CHOICES

We provide several ways for you to exercise certain privacy choices regarding your personal information processed by us, as described in this section. We are committed to respecting the privacy rights of individuals under all privacy laws applicable to us. Some privacy laws require that we provide specific information about individual rights to applicable consumers, which we have set forth below in this Privacy Notice.

Marketing. You may opt out from receiving marketing-related communications from us on a going-forward basis by contacting us or by using the unsubscribe mechanism contained in each email. We will try to comply with your request(s) as soon as reasonably practicable. Please note that if you opt out of receiving marketing-related emails from us, we may still send you important administrative messages, from which you cannot opt out.

CHILDREN

The Services are not intended or directed to children under the age of 16, and we do not knowingly collect any personal information, or knowingly track the use of our Services, from children. If we have actual knowledge that personal information about a child under 16 years old has been collected, then we will take appropriate steps to try and delete such personal information.

THIRD-PARTY WEBSITES

The Services may contain links to third-party services. We do not own, operate, or control the websites of third parties, including those of independently owned and operated franchisees. Accordingly, this Privacy Notice does not apply to any services maintained or operated by third-parties. When you click on those links, you will go to a third-party website where you will be subject to that service’s Privacy Notice or similar statement and terms of use, and we encourage you to read that policy statement. We are not responsible for the privacy practices of other services, and we expressly disclaim any liability for their actions, including actions related to the use and disclosure of personal information by those third parties.

CHANGES TO THIS PRIVACY NOTICE

We may amend this Privacy Notice at any time. If we make any material change in how we collect, use, disclose, or otherwise process personal information, we will prominently post a notice regarding such change on the Services. Any material changes to this Privacy Notice will be effective 10 days after our posting of the updated Privacy Notice or as otherwise required by applicable law. The GDPR and UK data protection laws (where applicable), give data subjects the following rights regarding their personal information:

  • Right of access: You have the right to obtain from us confirmation as to whether or not personal information concerning you is being processed and, where that is the case, to request access to the personal information. The accessed information includes – among others – the purposes of the processing, the categories of personal information concerned, and the recipients or categories of recipient to whom the personal information has been or will be disclosed. You have the right to obtain a copy of the personal information undergoing processing. For further copies requested by you, we may charge a reasonable fee based on administrative costs.
  • Right to rectify and complete personal information: you can request the rectification of inaccurate data and the completion of incomplete data. We will inform relevant third parties to whom we have transferred your data about the rectification and completion if we are legally obliged to do so.

In this section, we provide additional information to California residents about how we handle their personal information, as required by the California Consumer Privacy Act (“CCPA”). This section does not address or apply to our handling of personal information that is exempt under the CCPA.

Categories of personal information that we collect and disclose. Our collection, use and disclosure of personal information about a California resident will vary depending upon the circumstances and nature of our interactions or relationship with such resident. Purposes of Collection, Use and Disclosure. As described in more detail in the Sections entitled Use of Personal Information and Disclosures of Personal Information, we collect, use, disclose and otherwise process personal information (including sensitive personal information) for the following business or commercial purposes or as otherwise directed or consented to by you:

Retention. We may retain personal information for longer where required by our legal and regulatory obligations, professional indemnity obligations, or where we believe it is necessary to establish, defend or protect our legal rights and interests or those of others.

Rights of California Residents. In general, California residents have the following rights under the CCPA:

California residents’ rights. Under the CCPA, California residents have the following rights (subject to certain limitations) with respect to the personal information we collect and maintain about them:

  • Opt-out of sales and sharing: to opt out of our sale and sharing of their personal information.
  • Limit uses and disclosures of sensitive personal information : to limit certain uses or disclosures of sensitive personal information to those uses authorized by the CCPA.
  • Deletion: to request deletion of their personal information, subject to certain exceptions.
  • To know/access: to know what personal information we have collected about them, including the categories of personal information, the categories of sources from which the personal information is collected, the business or commercial purpose for collecting, selling, or sharing personal information, the categories of third parties to whom we disclose personal information, and the specific pieces of personal information we have collected about them.
  • Correction: to request correction of inaccurate personal information.
  • Non-discrimination: not to be subject to discriminatory treatment for exercising their rights under the CCPA.

Submitting CCPA Requests. California residents may exercise their CCPA privacy rights to know/access, delete, correct, and limit use/disclosure of sensitive personal information by submitting a verifiable request to us via:

We will respond to verifiable requests received from California residents as required by law. When you submit a request to know or a request to delete, we will take steps to verify your request by matching the information provided by you with the information we have in our records. You must complete all required fields on our webform (or otherwise provide us with this information via the above toll-free number) so that we can process and verify your request. We will process your request based upon the personal information in our records that is linked or reasonably linkable to the information provided in your request. In some cases, we may request additional information in order to verify your request or where necessary to process your request. If we are unable to adequately verify a request, we will notify the requestor. Authorized agents may initiate a request on behalf of another individual by contacting us via email or phone; authorized agents will be required to provide proof of their authorization and we may also require that the relevant consumer directly verify their identity and the authority of the authorized agent.

Requests to Opt Out. Our website responds to global privacy control—or “GPC”—signals, which means that if we detect that your browser is communicating a GPC signal, we will process that as a request to opt that particular browser and device out of sales and sharing (i.e., via cookies and tracking tools) on our website. Note that if you come back to our website from a different device or use a different browser on the same device, you will need to opt out (or set GPC for) that browser and device as well. Financial Incentives. We may make available certain programs or offerings that are considered “financial incentives” under the CCPA, and we will provide notice of the material terms of such incentives and obtain consent from individuals before including them in such incentive programs. Rights Under California Shine the Light Law. California residents may request from businesses with whom they have an established business relationship: (1) a list of categories of personal information, such as name, address, e-mail address, and the type of services provided to the customer, that a business has disclosed to third parties during the immediately preceding calendar year for the third parties’ direct marketing purposes and (2) the names and addresses of all such third parties.
